Depending on the business activities, some business fields have limitations for foreign ownership and some business fields are closed for foreign ownership. Moreover, currently it is mandatory to realize minimum investment of USD 800,000 to obtain Business License for PMA Company.

Therefore, alternatively our Client may establish local PT Company which is allowed to conduct specific business activities and there is no obligations to spend USD 800,000 investment in Indonesia.

The local PT company registration process as follows:

• Period : 2 months
• Fee : US$ 500 – 1,300
• Notes:
  – Minimum 2 Shareholders (corporate or individual), 1 Director, and 1 Commissioner
  – 100% Shareholders and Commissioner shall be local, and it is required to have at least 1 Local Director
  – In the event there is no local shareholder, Bizindo is able to provide local shareholder nominee (corporate or individual) with notarized nominee agreement to protect the client ownership in the company (details below)
  – The company can register up to 3 types of business activities on the business license
  – There are 3 sizes of local PT company according to the amount of paid-up capital:
        + Small : above IDR 50,000,000 – 500,000,000
        + Medium : above IDR 500,000,000 – 10,000,000,000
        +Large : above IDR 10,000,000,000
  – The paid-up capital can be submitted after the company is established and has bank account (stated on capital statement letter)
  – If the company plans to hire foreign employee, the minimum size is medium company, with paid-in capital above IDR 1,000,000,000
  – For companies domiciled in the South Jakarta, Social and Health Security registration is required during the incorporation process. Bizindo can assist for a fee of US$ 250
  – The fee excludes bank account opening assistance for US$ 200, if required
  – Bizindo provides translations of all documents to English by sworn translator with competitive fee
